Broad-based Experience to include Corporate transactional and regulatory compliance support to the clients on acquisitions joint ventures, mergers, reorg, etc. sale of healthcare businesses
Advising clients on structural regulatory considerations counseling clients on a wide range of health information for privacy and security issues
Seeking a candidate with:

At least 6 years of experience handling business and financial transactions in the healthcare industry

Recent large law firm experience

Strong understanding of complex healthcare regulations, including HIPAA and anti-kickback laws

Proven experience negotiating contracts across a range of entities, from physician practices to technology companies
Responsibilities include, but are not limited to:
• Representing a broad range of healthcare clients, including hospitals, health systems, physician groups, long-term care facilities, pharmaceutical companies, medical device manufacturers, and health IT firms.
• Advising clients on the purchase and sale of healthcare entities such as hospitals, physician practices, and software companies.
• Assisting with loans, private equity investments, and other capital markets transactions within the healthcare industry.
• Conducting comprehensive due diligence on operational, financial, and legal aspects of target companies prior to transactions.
• Structuring and drafting agreements for strategic partnerships between healthcare organizations.
• Negotiating and drafting various agreements, including physician employment contracts, vendor agreements, and managed care contracts.
• Ensuring all transactions comply with healthcare-specific regulations, including HIPAA, anti-kickback statutes, and the Stark Law.
• Providing counsel on corporate governance, risk management, and succession planning for healthcare clients.
Stellar academic credentials (Law Review and/or Moot Court accolades desired); Strong research, verbal & written communication skills, and analytic skills required ; Florida Bar.
