This attorney will have the opportunity to work on a wide variety of workout, bankruptcy and related insolvency matters and/or corporate finance transactions, including senior debt, asset based lending, cash flow, sponsor finance. and mezzanine transactions.

The ideal candidate for this position will have at least six years of experience advising private equity firms and their portfolio companies in a variety of complex transactions, including equity investments, co-investments, investment management, and other general corporate matters. Experience in drafting and negotiating limited liability company, limited partnership, shareholder and investor rights agreements and other ancillary transaction documents, and otherwise meeting the day-to-day requirements of private equity fund and portfolio company clients is expected. The ideal candidate will also have experience with management equity arrangements, including incentive equity terms. Familiarity with private equity fund documentation and structures and mergers and acquisitions is a plus.

Qualified Candidates Will Have
 

• A JD degree from an ABA-accredited law school;
• At least six years of corporate finance experience at a large law firm;
• Texas bar admission;
• Strong communication and writing skills; and
• Top academic credentials.

Salary range for this position is 195-350K
